§ 1. Definitions
“Agreement” means this Master Services Agreement together with all Schedules, Exhibits, and amendments. “Confidential Information” means all non-public information disclosed by either party.
§ 2. Services
Provider shall perform the Services described in each Statement of Work in accordance with the terms of this Agreement and applicable law.
§ 3. Payment Terms
Client shall remit all fees within thirty (30) business days of invoice date. Late payments accrue interest at 1.5% per month.
§ 4. Indemnification
Vendor shall indemnify and hold harmless Client from and against any third-party claims, damages, losses, and expenses arising out of Vendor’s material breach or gross negligence.
§ 5. Limitation of Liability
In no event shall either party be liable for any indirect, incidental, special, exemplary, or consequential damages of any kind.
§ 6. Term and Termination
This Agreement shall commence on the Effective Date and continue for twenty-four (24) months unless earlier terminated.
§ 7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the applicable SOW.
